1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Grace Longevity website located at gracelongevity.com and all related services (collectively, the "Platform"). By using the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

If you are using the Platform on behalf of another person, you represent that you have authority to bind that person to these Terms.

2. Platform — Not a Medical Provider

Grace Longevity is a health technology platform, not a licensed medical provider. We do not practice medicine, provide medical advice, diagnose conditions, or prescribe medications. All clinical services — including physician consultations, eligibility determinations, and prescription decisions — are provided exclusively by independent, licensed physicians who operate under their own medical licenses and are solely responsible for their clinical judgments.

Nothing on this Platform or in any communication from Grace Longevity constitutes medical advice. Always consult a qualified healthcare provider regarding your individual health needs. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately.

Grace Longevity does not guarantee any clinical outcome, including but not limited to approval for any medication or achievement of any weight loss goal.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Be a legal resident of the United States in a state where our services are available
• Provide accurate, complete, and current information in your intake assessment
• Not be using the Platform for any fraudulent, illegal, or unauthorized purpose

We reserve the right to refuse service to anyone for any reason at any time, including if we believe you have provided false or misleading information.

4. Services Described

Through the Platform, Grace Longevity facilitates:

• Patient intake assessments submitted to independent physicians for review
• Physician evaluation of patient candidacy for compounded GLP-1 therapies (currently compounded semaglutide and compounded tirzepatide)
• Prescription issuance by approved physicians and fulfillment through licensed compounding pharmacies
• Optional telehealth consultations when required by the reviewing physician
• The Grace Care Plan subscription (monthly physician monitoring and auto-refill) for approved patients who enroll

All medications dispensed through the Platform are compounded medications prepared by licensed compounding pharmacies. They are not FDA-approved finished drug products. They contain the same active pharmaceutical ingredients as brand-name medications but are not the brand-name drugs.

5. Independent Physicians

Physicians who review patient assessments through the Platform are independent contractors, not employees or agents of Grace Longevity. Grace Longevity does not supervise, direct, or control the clinical decisions of any physician. Each physician's determination regarding a patient's candidacy, dosing, and treatment is made entirely at their independent clinical discretion.

Grace Longevity is not liable for any physician's clinical decisions, errors, omissions, or acts or omissions in connection with the professional services they provide. Your relationship for clinical care is directly with the independent physician, not with Grace Longevity.

6. Payment & Fees

Consultation fee: A consultation fee is charged for each patient intake assessment reviewed by a physician. This fee applies regardless of whether you are approved for medication. By submitting an intake assessment, you authorize the collection of this fee after physician review.

Medication fees: If approved, your monthly medication cost is determined by your physician-prescribed dose. Current pricing starts at $299/month for semaglutide and $349/month for tirzepatide. Pricing is subject to change with notice.

Payment processing: All payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service. Grace Longevity does not store full credit card numbers.

Private pay only: Grace Longevity does not accept insurance. All fees are paid out-of-pocket by the patient. We do not file insurance claims or provide superbills for reimbursement at this time.

7. Grace Care Plan

The Grace Care Plan is an optional monthly membership available to approved patients. It includes monthly physician review, dose adjustments, and automatic medication refill.

• Enrollment is offered by default at the end of the patient intake form. You may opt out by unchecking the enrollment box before submission.
• Monthly fees are charged automatically to your payment method on file.
• A minimum of 30 days written notice is required to cancel or pause your Grace Care Plan. Notice must be submitted in writing to support@gracelongevity.com. Any charges that fall within the 30-day notice period are non-refundable.
• Grace Longevity reserves the right to terminate your enrollment in the Grace Care Plan at any time with reasonable notice if you are determined to be ineligible for continued therapy or if you violate these Terms.

8. Refund Policy

Consultation fees are non-refundable. The consultation fee compensates the independent physician for their time in reviewing your health assessment, regardless of outcome.

Medication fees: Once a prescription has been dispensed and shipped by the pharmacy, refunds are not available for medication, as compounded medications are prepared to order and cannot be resold or returned for safety reasons.

Exceptions: If you receive medication that is damaged, defective, or materially different from what was prescribed, contact us within 7 days of receipt at support@gracelongevity.com and we will work with the pharmacy to address the issue.

Grace Care Plan: Monthly Grace Care Plan charges that fall within the 30-day cancellation notice period are non-refundable.

9. Your Responsibilities

By using the Platform, you agree to:

• Provide complete, accurate, and truthful information in your intake assessment. Providing false or misleading health information is dangerous and may result in inappropriate medical recommendations.
• Promptly notify us of any changes to your health status, medications, or other information that may affect your treatment.
• Use all medications only as directed by your prescribing physician.
• Not share, sell, or transfer your prescribed medications to any other person.
• Maintain the confidentiality of your account and notify us immediately of any unauthorized access.
• Not attempt to circumvent any eligibility requirements or clinical review processes.

10. Prohibited Conduct

You may not use the Platform to:

• Provide false information or impersonate another person
• Obtain medications for any person other than yourself
• Resell or redistribute medications obtained through the Platform
• Interfere with or disrupt the Platform's infrastructure
• Attempt to access any systems, data, or accounts beyond your own
• Use the Platform for any unlawful purpose
• Reverse engineer, decompile, or copy any portion of the Platform

11. Intellectual Property

All content on the Platform — including text, images, graphics, logos, design, and code — is owned by Grace Longevity, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or use any Platform content without our express written permission.

12. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Grace Longevity does not warrant that: (a) the Platform will be uninterrupted, secure, or error-free; (b) any physician will approve your request for medication; (c) any medication will produce any particular clinical outcome; or (d) the information on the Platform is complete, accurate, or current.

Compounded medications are not FDA-approved and have not undergone FDA safety and efficacy review. Use of compounded medications involves risks. Your independent physician will discuss these risks with you as part of the clinical evaluation process.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GRACE LONGEVITY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, LOSS OF DATA, LOSS OF PROFITS, OR ANY ADVERSE HEALTH OUTCOME.

IN NO EVENT SHALL GRACE LONGEVITY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO GRACE LONGEVITY IN THE 90 DAYS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Grace Longevity, LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any information you submit through the Platform that is false, inaccurate, or misleading.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Louisiana. You waive any right to a jury trial or to participate in a class action lawsuit related to these Terms or the Platform.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you by email. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
